All quotations are made and goods supplied by Mantle Packaging Machinery Ltd (‘the Company’) to its Customer on the basis of the following conditions. Any terms and conditions set out in any documentation by the customer shall not apply unless expressly agreed to in writing by the Company.
BUSINESS TO BUSINESS
The Company is a Business to Business supplier. The webpage and any other product information produced by the Company is intended for use by business customers and not consumers. By ordering, the Customer confirms that they wish to obtain goods for the purpose of their business and not as a consumer.
PAYMENT
The Customer must immediately advise the Company of a query or dispute concerning any Invoice raised. All goods paid for using Paypal must be delivered to the registered cardholders address.
CANCELLATION OF ORDER
If a customer cancels an order with the Company prior to delivery of the goods, the customer will be liable for any costs or losses incurred as a result of the cancellation. If goods are modified or made expressly to a Customers requirements cancellation can only be accepted on the understanding that the Customer indemnifies the Company for any costs or losses incurred as a result of the cancellation, including any additional costs of converting the goods to standard specification.
DELIVERY TIMES AND METHODS
The Company has the right to arrange delivery by whatever method and route it chooses to the customer’s address. Delivery dates are an indication only and whilst all reasonable effort will be made to meet the dates, the Company will not be liable if the delivery is delayed for any reason beyond that date.
NON DELIVERY, LOSS OR DAMAGE
All cartons must be thoroughly checked for visible signs of damage before the goods are signed for. It will be assumed that the goods were delivered in satisfactory condition unless the Customer notes any damage on the carrier’s delivery record when they accept the shipment. Any damage or shortage on the delivery should be notified to us on day of receipt, after which no claim can be entertained. In the event of a claim the contents of the delivery and all packaging must be retained and made available to the Company for inspection. No claim for non-delivery can be recognised unless we are
advised within 14 days of the date of Invoice.
QUALITY & PURPOSE
The goods supplied by The Company will be suitable for the use intended. Any recommendations or suggestions, either in literature, brochures or in reply to a specific enquiry is given in good faith. It is for the Customer to ensure that the goods are suitable for their own purpose.
MACHINERY WARRANTY
If any purchased machinery is found to be defective, providing notification is received within twelve months of delivery, the Company will replace the defective parts without charge. The defective parts must be returned to the Company. The warranty is not transferable and excludes routine maintenance, consumables or service items, parts subject to normal wear and tear and damage caused by misuse or negligence. Any work arising from these instances will be chargeable. The warranty will be invalidated if any of the terms and conditions of the warranty are not adhered to, including installation of the product incorrectly or in an
unsuitable position, if the user does not provide proper or adequate maintenance and cleaning or the use of nonoriginal Mantle Packaging replacement parts.
The Company’s liability in respect of any loss or damage, however caused, does not extend to the Customer’s loss of profits, increased cost of working or any consequential loss.
RETURNS
All returns, other than for faulty goods or goods received damaged, will be at the Company’s discretion. Prior to returning any goods to the Company for any reason, the Customer must contact the Company directly on 01254 824992, to discuss the reason for the return and obtain a ‘returns authorisation number’. Postage/Return will be at the expense of the Customer unless the goods are received damaged (See ‘Non-Delivery, Loss or Damage’). For hygiene
reasons food packaging must not be opened. All goods are returned at the Customer’s risk and should be undamaged and in their original packaging. The Customer is responsible for providing proof of delivery of such return.
GOODS NOT OF THE SELLERS MANUFACTURE
In respect of goods not of the Companies manufacture the Company will give the Customer a guarantee equivalent to the guarantee (if any) which the Company has received from the Supplier.
RETENTION OF TITLE AND PASSING OF RISK
The goods will remain the property of The Company until full payment has been received for them. Upon delivery the risk in the goods shall pass to the Customer, and notwithstanding that the ownership of the goods is retained by the Company, the Company has no responsibility in the goods. The Customer shall be responsible for insuring the goods for not less than their purchase price.
FORCE MAJEURE
The Company have the right to cancel, or delay delivering, or to reduce the amount delivered, if it is prevented from, or hindered in, or delayed in, manufacturing, or delivering by the normal route, or method of delivery, the goods, through any circumstances beyond its reasonable control.
The Company shall not be liable for any default due to any circumstance beyond the reasonable control of the Company including, but not limited to Acts of God, war, civil unrest, riot, strike, lock-outs, acts of civil or military authorities, fire, flood, earthquake or shortage of supply.
PROPER LAW
Any contract between the Company and the Customer shall in all respects be construed and operated as an English contract in conformity with English Law. If any part of these conditions is held by a Court or Tribunal to be unenforceable or void, this shall not affect the remainder of this contract,
which will continue in full force and effect. The headings in these Conditions are for ease of reference only and shall not affect the interpretation of any of the
Conditions.
